    Creator Agreement

    1. Introduction

    This Creator Agreement describes the additional terms for users who upload content to Soundyard.eu. These terms apply in addition to the general Terms of Service.

    As an uploader/creator, you accept: all provisions in this document, the general Terms of Service, the Copyright Flow procedures, and the Artist Payout Structure.

    2. Definitions

    • Creator/Uploader/Artists: User who uploads content to Soundyard
    • Content: All uploads: tracks, stems, samples, artwork, descriptions
    • Library Content: Downloadable content for which rights are required
    • Feed Content: Streaming content without rights requirement
    • Extra Content: Sample packs, loops, stems, merch sold via profile
    • Revenue Share: Distribution of income between creator and platform

    3. Creator Agreement

    3.1 Non-Exclusive License

    By uploading content to Soundyard, you grant Soundyard B.V. a non-exclusive, worldwide, royalty-free license to: host and store content on servers, display content to users (streaming in Feed), make content available for downloads (Library, subscribers only), and use content in platform marketing (with your consent).

    3.2 Ownership Rights Remain With You

    You retain: full copyright and ownership, right to remove content, right to release content elsewhere, right to modify/update content, and all future rights to the work.

    4. Rights and Obligations for Uploads

    4.1 Library Uploads (Downloads Enabled)

    You declare that you have full rights to the content or official permission from all rights holders. Not allowed: bootlegs without permission, unofficial remixes, tracks with unlicensed samples, covers without mechanical license.

    4.2 Feed Uploads (Streaming Only)

    Allowed in Feed: mashups, bootlegs and unofficial remixes, edits of existing tracks, platform-exclusive content. Conditions: streaming only (no downloads), no monetization, content remains visible unless copyright claim.

    5. Revenue Share Structure

    5.1 Subscription Downloads

    Creators who join before November 29, 2026 receive 85% of download revenue, for life. Creators who join on or after November 29, 2026 receive 70%. Soundyard retains the remainder for infrastructure & growth. Only for tracks with Clean status in Library, downloaded by paying subscribers.

    5.2 Extra Content Sales (88/12)

    88% to creator, 12% platform fee. Applicable to: sample packs, loops, stems, exclusive tracks, instrumentals, and acapellas.

    5.3 Payout Procedure

    Frequency: quarterly. Minimum amount: to be determined at launch. Payment methods: SEPA bank transfer (EU), PayPal, Stripe.

    6. Use of AI-Generated Audio

    6.1 Definitions

    *AI-tool*: any generative service that produces audio, including but not limited to Suno, Udio, ElevenLabs, Riffusion, Mureka and Sonauto. *Fully AI-generated*: a track whose composition, performance and production have been produced in substance by an AI-tool, without meaningful human creative contribution. *AI-assisted*: a track in which one or more AI-produced elements (such as a vocal, melody or one-shot) are used as a sample, while the Uploader personally created the composition, arrangement, production and mix.

    6.2 Mandatory Disclosure

    For every upload the Uploader declares in the upload form whether, and to what extent, AI was used. An incorrect, incomplete or misleading disclosure is considered a material breach and gives Soundyard the right to remove the track, forfeit the payout and terminate the account.

    6.3 Permitted

    AI-assisted tracks are permitted in the Library and the Marketplace and fully qualify for payout, provided Article 6.4 is satisfied.

    6.4 Uploader Guarantees

    The Uploader guarantees that: a) they hold all rights to commercially exploit the AI-output, including the required license or subscription tier with the AI-tool; b) the AI-output was not generated with prompts intended to imitate the voice, name or recognizable style of an identifiable artist; c) the track does not infringe copyright, neighbouring rights, portrait rights or any other third-party rights; d) Soundyard is indemnified against all third-party claims arising from the upload, including legal assistance costs.

    6.5 Not Permitted

    Fully AI-generated tracks are not allowed and do not qualify for payout. Without substantial human creative input no copyright-protected work arises, so Soundyard cannot pass rights on to its members and registration with Buma/Stemra is not possible. The use of software or services aimed at circumventing AI-detection, including removing watermarks or generation artefacts, is also prohibited.

    6.6 Control and Review

    Soundyard may automatically analyse any upload. The result is an indication, not proof. In case of an elevated score Soundyard will place the track under review and notify the Uploader. The Uploader may submit proof of own creative contribution within fourteen (14) days, such as the project file, separate stems, session screenshots or export history. Soundyard will decide within ten (10) business days. The Uploader may object in writing to info@soundyard.eu.

    6.7 Payout

    Royalties on tracks under review are suspended until the review is completed and are paid out upon approval. New Uploaders are subject to a sixty (60) day hold on their first payout. Amounts already paid out for tracks that later prove to be in violation of this article may be reclaimed or set off against future payouts.

    6.8 Transparency

    Tracks declared as AI-assisted will be labelled as such on the public track page.

    7. Content Quality and Metadata

    Audio quality: minimum 320 kbps MP3, recommended WAV/FLAC/AIFF (lossless), sample rate minimum 44.1 kHz. Artwork: minimum 1000x1000 pixels, recommended 3000x3000 pixels.

    Required metadata: track title, artist name, genre, release date. Recommended: subgenre, BPM, key, label name.

    8. Creator Liability

    You indemnify Soundyard from all claims arising from: copyright infringement from your uploads, false statements about rights ownership, damage to third parties from your content, and legal costs in lawsuits.

    Consequences of infringement:
    1st time: Warning + content removal
    2nd time: 30 day upload ban
    3rd time: Permanent account ban

    Soundyard Elite (price at launch)

    Professional artists. Priority Download, 320 kbps only, WAV or higher. Advanced analytics, Dashboard, Official Acapellas, DJ Tools Samples & more.

    Label Account (Free)

    Labels with multiple artists. Multi-artist management, bulk uploads, team accounts, API access.

    11. Acceptance

    By uploading content to Soundyard you confirm: having read and understood this Creator Agreement, agreeing to all terms, owning the rights to uploaded content, being responsible for your uploads, and indemnifying Soundyard from claims.
